TecAlliance Web Catalogue Terms of Use (hereinafter referred to as "this Agreement") constitute a legally binding agreement between you and TecAlliance (hereinafter referred to as "TecAlliance" or "we"). You are not authorized to use TecAlliance Web Catalogue (hereinafter referred to as "the Catalogue") unless you have read and accepted this Agreement. Your use or continued use of the Catalogue constitutes your acknowledgement that you have read and agree to be bound by this Agreement.
I. Scope of Application
We are delighted that you have chosen our web catalogue. Use of the Catalogue is subject to the following conditions, and TecAlliance reserves the right to update or amend these Terms of Use at any time.
Information regarding the status of any updates to these Terms can be found at the beginning of this document. Your continued use of the Catalogue shall be deemed acceptance of the revised Terms of Use.
II. Supplier Information
This Catalogue is provided by TecAlliance China (hereinafter referred to as "TecAlliance"), with registered address at Room 901, Block G, Xuhui Vanke, No. 9335 Humin Road, Xuhui District, Shanghai, China. TecAlliance is a wholly-owned subsidiary established by TecAlliance GmbH of Germany.
The directory considers and fulfils the requirements of the data supplier's headquarters. Consequently, TecAlliance assumes no responsibility for the availability of the directory or the data it contains outside the country where the supplier's headquarters is located. Use outside the affected country is permitted only in compliance with the laws, regulations, and standards of that specific country.
III. Scope of Services
Directory Supply Notice: TecAlliance reserves the right to alter or adjust the functionality of the directory, modify sales policies, or terminate the directory at any time without prior notice to users.
IV. User Registration
1. Users warrant that all registration information provided (including but not limited to personal details, corporate information, etc.) is true, timely, complete, and accurate. Access to the Directory is granted only upon successful registration. Registration may be completed via the Directory platform, requiring submission of name, email address, telephone number, and other specified details. TecAlliance reserves the right to refuse any registration without providing justification.
2. You acknowledge and agree that ownership of the directory registration account resides with TecAlliance. Upon registration completion, you are granted usage rights to the account. These usage rights belong solely to the initial applicant and may not be transferred or provided to others in any manner. Failure to comply entitles TecAlliance to immediately revoke the account without notice. You shall bear full responsibility for any resulting loss, including the deletion or loss of all data and information generated through your use of this service.
3. Users shall not provide successfully registered accounts to other parties for use without TecAlliance's consent. Any resulting legal liabilities shall be borne jointly and severally by the registered user and the actual user.
4. Following the recovery or cancellation of an account by TecAlliance pursuant to this Agreement, TecAlliance reserves the right to independently handle all relevant account content and information, including but not limited to deletion, without incurring any liability to the user.
V. Directory and Data Usage Rights
TecAlliance grants registered users a non-exclusive, non-transferable right to use the directory and its contained data. Without TecAlliance's written permission, no part of the directory or its data may be transferred, sold, leased, disseminated, publicly displayed, uploaded, or otherwise communicated to third parties.
VI. Intellectual Property Provisions
The Directory and its contained data are protected by copyright and ancillary laws. Users are prohibited from reproducing the Directory or its data for republication, or providing public access to it in any manner. Save where expressly authorised, users possess no rights to dispose of the Directory or its data. You acknowledge and agree that TecAlliance retains all relevant rights and ownership over the Directory, including but not limited to its content and materials (such as videos, audio, images, graphics, statistics, logos, etc.), along with all associated intellectual property rights.
VII. Intellectual Property Rights and Liability for Defects
Given the complexity of the data sources, TecAlliance does not guarantee the absolute accuracy or completeness of the data. TecAlliance assumes no liability for any material or legal defects, particularly regarding the accuracy, completeness, and availability of the directory and the data it contains, as this does not involve third-party intellectual property or copyright matters.
VIII. Liability
TecAlliance, its employees, representative offices, branches, and agents are exempt from liability arising from minor negligence or dereliction of duty, unless there is a material breach of the contract, namely the failure to correctly provide the services stipulated in the contract, upon which the user primarily relies. In no event shall TecAlliance's liability exceed the foreseeable, direct standard losses defined in the contract, excluding indirect losses arising from replacement, consequential damages, and loss of profits. The limitations of liability set forth in this section shall not apply to injury to life, limb, or damage to the health of the User caused by TecAlliance.
IX. Breach of Terms of Use
TecAlliance reserves the right to deny access to the directory at any time and for any reason without prior notice, particularly where the user breaches these Terms of Use.
X. Data Protection
1. TecAlliance places great importance on data protection matters, as outlined in our Privacy Policy. Detailed definitions regarding the protection of personal information can be found by directory users. We shall collect, use, store, and share your personal information in accordance with the provisions of this Agreement and the Privacy Policy.
2. The user acknowledges and agrees that: in order to provide a better experience, TecAlliance may collaborate with third parties to offer relevant services to users. In such circumstances, TecAlliance reserves the right to provide the user's registration details etc., to such third parties, provided that the third party agrees to assume the same responsibility as TecAlliance for protecting user privacy.
XI. User Responsibilities
1. Pursuant to the Telecommunications Regulations of the People's Republic of China, the Measures for the Administration of Internet Information Services, the Interim Provisions on the Administration of International Networking of Computer Information Networks in the People's Republic of China, and the Regulations on the Security Protection of Computer Information Systems of the People's Republic of China, you shall not create, publish, or disseminate information containing the following content while using this directory:
a. Opposing the fundamental principles established by the Constitution of the People's Republic of China;
b. Spreading rumours, disrupting social order, or undermining social stability;
c. Insulting or defaming others, infringing upon the lawful rights and interests of others;
d. Containing other content prohibited by laws and administrative regulations;
2. Users shall not unlawfully access this directory nor utilise registered accounts for illegal profit-making activities. Should any user violate this provision, TecAlliance shall immediately and independently take effective measures to cease service provision and terminate the user account in accordance with the relevant laws and regulations, including the Tort Liability Law of the People's Republic of China. All consequences arising therefrom shall be borne solely by the user.
XII. Miscellaneous
This Agreement contains no supplementary agreements. Should any provision herein be deemed invalid, the validity of the remaining provisions shall remain unaffected.
XIII. Jurisdiction and Governing Law
1. This Agreement and any disputes arising out of or in connection with this Agreement or the Catalog shall be governed by and construed in accordance with the laws of the People’s Republic of China (excluding the Hong Kong Special Administrative Region, the Macao Special Administrative Region, and Taiwan).
2. Where no relevant legal provisions exist, reference shall be made to general international commercial practices and industry conventions. The User and TecAlliance hereby agree that any disputes arising from the performance of this Agreement shall be resolved through friendly consultation between the parties. Should consultation fail, both parties agree to submit the dispute to the People's Court at the location of TecAlliance China for litigation resolution.
